2. Accounts and Eligibility
You must be at least 18 years old to use the Platform. By registering an account, you confirm you meet this requirement.
You must provide accurate information when you sign up, including your date of birth, and keep it up to date. You may only have one account.
You are responsible for keeping your login details confidential and for any activity under your account. Please tell us straight away if you think someone else has used your account.
3. User Content
You are responsible for any content you upload, post, or transmit through the Platform. We do not claim ownership of your User Content.
You grant Herdle a non-exclusive, worldwide, royalty-free licence to host, store, use, display, reproduce, adapt and publish your User Content to operate, provide and improve the Platform. We won’t use your photos or any content that identifies you to promote Herdle outside the Platform without your permission. We may use plan details that don’t identify you, such as the type of plan and general area, to promote Herdle.
This licence ends when you delete the content or your account, except for copies held in backups for a limited time, chat messages that remain visible to other participants, and content we need to keep for legal or safety reasons.
Your User Content must comply with all applicable laws, these Terms, our CSAE Policy and any other policies we publish on the Platform from time to time.
We may remove or restrict any User Content, including any plan, at any time if we believe it breaches these Terms or is not consistent with the personal, social purpose of the Platform.
We are not responsible for User Content posted by others. If you believe any content on the Platform is harmful, unlawful or breaches these Terms, you can report it in the App or email hello@herdle.io. We will review reports promptly and may contact the person who posted the content.
4. Third-Party Services
Herdle relies on third-party service providers to operate the Platform, including providers of cloud hosting, data storage, authentication, analytics, communications, and payment processing. These may include companies such as Google Firebase, Supabase, Stripe, and mapping services.
These providers process data on our behalf, and we handle your personal information as set out in our Privacy Policy. To the extent permitted by law, we are not liable for outages or interruptions caused by third-party providers that are outside our reasonable control.
5. Payments and Subscriptions
Some features on the Platform may require payment, such as premium subscriptions. Any fee will be shown before you pay.
- All prices are in New Zealand dollars (NZD) and include GST, unless stated otherwise.
- Subscriptions are billed in advance and renew automatically unless you cancel before the next billing date.
- If you pay through the Apple App Store or Google Play Store, you can cancel through your store account settings, and your payment is subject to the store’s terms and refund policies.
You authorise Herdle and its payment processors to charge your payment method for fees you have agreed to. If a payment fails, we may suspend your access to paid features.
If we change the price of a subscription, we’ll let you know before the new price applies, so you can cancel if you don’t want to continue.
6. App Store Terms
When you download the App from the Apple App Store, Google Play Store, or other distribution platforms:
- You acknowledge that these stores are not a party to these Terms.
- You agree to comply with their applicable usage rules.
- You acknowledge that the app stores are not responsible for support or legal claims related to the App.
If you download the App from the Apple App Store, Apple’s Licensed Application End User License Agreement also applies.
7. Acceptable Use
You agree not to use the Platform to:
- Engage in unlawful, harassing, abusive, defamatory, discriminatory, or threatening behaviour, including at any plan you attend
- Post content that is obscene, pornographic, or offensive
- Post or share any content in breach of our CSAE Policy
- Seek or offer sexual services
- Scam other users, or ask them for money, gifts or financial details for anything other than their share of a plan’s cost
- Impersonate any person or entity, or create a fake account or plan
- Share another person’s personal information or photos without their consent
- Collect or harvest information about other users
- Upload malware or attempt to disrupt or damage the Platform
- Promote a business, product, service or paid event in breach of clause 8
- Violate any applicable laws or regulations
Hosts may use the App’s age and gender settings to choose who can see their plan. Using these settings is not a breach of this clause.
We may remove content, suspend accounts, or take other action if we believe you have breached these standards or our Community Guidelines. You can also block any user at any time.
8. Business Promotion and Commercial Use
The Platform is for individuals to make and join social plans. You must not use the Platform to advertise or promote a business, organisation, product, service or paid event, or to post plans on behalf of a business, without our prior written approval.
To request approval, email hello@herdle.io. We may give, refuse, or withdraw approval at our discretion and may attach conditions, including fees.
If you breach this clause, we may remove the content and suspend or terminate your account under clause 12.
9. Intellectual Property
All rights, title, and interest in the Platform, including its design, features, branding, and content (excluding User Content), belong to Herdle or its licensors.
You are granted a limited, revocable licence to access and use the Platform solely for its intended purpose. You may not modify, reproduce, distribute, or create derivative works based on our Platform without our written permission.
All Herdle trade marks, logos, and branding elements are protected under intellectual property laws.
10. Disclaimers and Limitation of Liability
The Platform is provided “as is” and “as available”. Herdle does not guarantee uninterrupted or error-free operation of the Platform.
To the extent permitted by law, Herdle disclaims all warranties, including fitness for a particular purpose, accuracy, reliability, and non-infringement.
To the extent permitted by law, Herdle is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from your use of the Platform.
To the extent permitted by law, our total liability to you for any claim related to the Platform is limited to the amount you paid us, if any, in the six months before the event giving rise to the claim.
Herdle makes no representations about compatibility, relationship outcomes, or the success of any friendships or relationships formed through the Platform.
Herdle is not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, telecommunications failures, cyberattacks, labour disputes, or outages affecting third-party service providers.
Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 or any other law that cannot be excluded.
11. Plans and In-Person Meetings
By using the Platform, you may meet other users in real life. Meeting people carries inherent risks, and you are responsible for your own interactions and safety.
Some plans involve a cost, such as a cooking class, a meal or event tickets. We recommend each person pays the business or provider directly, rather than paying the host. Herdle is not involved in, and is not responsible for, any payment made for a plan, whether to a host, another user or a business.
Users who create plans are responsible for organising, hosting, and running those plans. Herdle does not supervise, control, or take responsibility for any user-organised plan, and is not responsible for the safety, legality, quality, or suitability of any plan.
When you ask to join a plan, you can ask to bring up to three friends. If the host accepts you with friends, only bring the number they accepted. You’re responsible for making sure your friends are 18 or over and follow these Terms and our Community Guidelines while they’re at the plan.
Herdle does not guarantee the identity, intentions, or behaviour of any user. We do not currently conduct background checks or verify user identities. Always take appropriate precautions and meet in public places. See our FAQ for safety tips.
To the extent permitted by law, we are not liable for any damage or harm resulting from in-person meetings.
12. Termination
You may delete your account at any time through the App settings.
We may suspend or terminate your account or access to the Platform if you breach these Terms, if your conduct is harmful to Herdle or other users, or if necessary to protect the safety of users or the integrity of the Platform.
When your account is deleted or terminated, your licence to use the Platform ends immediately. We handle your information as set out in our Privacy Policy.
13. Changes to These Terms and Our Policies
We may update these Terms or our policies from time to time. If we make material changes, we’ll let you know in the App or by email before they take effect.
Your continued use of the Platform after the changes take effect means you accept them. If you don’t agree, you can delete your account.
14. Disputes and Governing Law
These Terms are governed by the laws of New Zealand.
If a dispute arises between you and Herdle, we both agree to try to resolve it in this order:
- Talk to us first. Contact us at hello@herdle.io and give us a chance to resolve it. We’ll try to resolve it within 30 days.
- Mediation. If it isn’t resolved, either of us may suggest mediation with an independent mediator. Mediation will go ahead if we both agree.
- Disputes Tribunal. If the dispute is still not resolved, we both agree to take it to the Disputes Tribunal of New Zealand, where it falls within the Tribunal’s jurisdiction.
Only disputes that fall outside the Disputes Tribunal’s jurisdiction may be taken to the New Zealand courts. Nothing in this clause stops either of us from seeking urgent relief from a court.
15. General
If any part of these Terms is found to be unenforceable, the rest of these Terms continues to apply.
These Terms, together with our Privacy Policy and CSAE Policy, are the entire agreement between you and Herdle about the Platform.
We may transfer our rights and obligations under these Terms to another entity, for example if Herdle is sold or restructured. You may not transfer yours.
If we don’t enforce a right under these Terms straight away, we haven’t given it up.
