Herdle Terms and Conditions
Effective Date: 28 April 2025
1. Definitions
Platform means the Herdle app and website.
Terms means the Herdle Terms and Conditions.
User Content means any content you upload, post, or transmit through Herdle.
2. Accounts and Eligibility
You must be at least 18 years old to use Herdle. By registering an account, you confirm you meet this requirement.
You are responsible for maintaining the confidentiality of your login credentials and are responsible for any activity under your account. You agree to notify us immediately of any unauthorised use of your account.
We reserve the right to suspend, disable, or terminate accounts at our sole discretion if you violate these Terms or if your conduct is harmful to Herdle or other users.
3. User Content
You are solely responsible for any content you upload, post, or transmit through Herdle. You grant Herdle a non-exclusive, worldwide, royalty-free license to use, display, reproduce, adapt, publish, and distribute your User Content for the purpose of providing, improving, and promoting the Platform.
We do not claim ownership of your User Content. However, you agree that your content must comply with all applicable laws and our content policies.
We are not responsible for User Content posted by others. If you encounter content that violates these Terms, you can report it.
4. Third-Party Services
Herdle relies on trusted third-party service providers to operate the Platform, including providers of cloud hosting, data storage, authentication, analytics, communications, and payment processing. These providers may include companies such as Google Firebase, Supabase, Stripe, and mapping services.
By using Herdle, you acknowledge that certain data may be processed and stored by these providers on our behalf. Herdle is not responsible for outages, data loss, or security incidents caused by third-party providers, to the extent permitted by law.
5. Payments and Subscriptions
Some features on Herdle may require payment, including premium subscriptions or event participation fees.
- Fees are billed in advance and may auto-renew unless you cancel before the next billing cycle.
- Payments made through the App Store or Google Play Store are subject to their own terms and refund policies.
- All prices are in New Zealand dollars (NZD) unless otherwise stated.
You authorise Herdle and its payment processors to charge your payment method for applicable fees. Failure to pay may result in suspension or termination of your access to paid features.
We reserve the right to modify pricing with reasonable notice provided through the Platform.
6. App Store Terms
When you download the App from the Apple App Store, Google Play Store, or other distribution platforms:
- You acknowledge that these stores are not a party to these Terms.
- You agree to comply with their applicable usage rules.
- You acknowledge that the app stores are not responsible for support or legal claims related to Herdle.
7. Acceptable Use
You agree not to use Herdle to:
- Engage in unlawful, harassing, abusive, defamatory, discriminatory, or threatening behavior
- Post content that is obscene, pornographic, or offensive
- Impersonate any person or entity
- Collect or harvest information about other users without consent
- Upload malware or attempt to disrupt or damage the Platform
- Violate any applicable laws or regulations
We may remove content, suspend accounts, or take other enforcement actions at our discretion if you violate these standards.
8. Intellectual Property
All rights, title, and interest in the Platform, including its design, features, branding, and content (excluding User Content), belong to Herdle or its licensors.
You are granted a limited, revocable license to access and use the Platform solely for its intended purpose. You may not modify, reproduce, distribute, or create derivative works based on our Platform without express written permission.
All Herdle trademarks, logos, and branding elements are protected under intellectual property laws.
9. Disclaimers and Limitation of Liability
The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied. Herdle does not guarantee uninterrupted or error-free operation of the Platform.
Herdle disclaims all warranties including, but not limited to, fitness for a particular purpose, accuracy, reliability, and non-infringement.
To the fullest extent permitted by law, Herdle is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from your use of the Platform.
Our total liability to you for any claim related to the Platform is limited to the greater of (i) $100 NZD or (ii) the amount you paid us, if any, in the six months preceding the event giving rise to the claim.
Herdle makes no representations regarding compatibility, relationship outcomes, or the success of any connections formed through the Platform.
Herdle is not liable for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to acts of God, natural disasters, telecommunications failures, cyberattacks, labor disputes, or outages affecting third-party service providers.
10. Risks of In-Person Meetings
By using Herdle, you may meet other users in real life. You acknowledge that meeting people carries inherent risks, and you assume full responsibility for your interactions.
Users who create events are solely responsible for organising, hosting, and conducting those events. Herdle does not supervise, control, or assume responsibility for any user-organised event.
Herdle is not responsible for the safety, legality, quality, or suitability of any event.
Herdle does not guarantee the identity, intentions, legitimacy, or behavior of any user.
Herdle does not conduct background checks or verify user identities. Always take appropriate precautions and meet in public places.
We are not liable for any damages or harm resulting from in-person meetings.
11. Termination
You may delete your account at any time through the App settings.
We reserve the right to suspend or terminate your access to the Platform if you violate these Terms or if necessary to protect the safety of users or the integrity of the Platform.
Upon termination, your license to use the Platform ends immediately.
12. Modifications to the Terms
We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on the Platform or contacting you directly.
Your continued use of the Platform after the effective date of new Terms constitutes your acceptance of them.
13. Dispute Resolution and Governing Law
These Terms are governed by the laws of New Zealand.
If a dispute arises between you and Herdle, you agree to first attempt to resolve it informally by contacting us. If we cannot resolve it within 30 days, disputes will be resolved through binding arbitration in Auckland, New Zealand, unless prohibited by law.
You waive any right to participate in a class action or jury trial.
